Distribution Terms
These Distribution Terms (“Distribution Terms”) govern music submitted through the BlackFire Media artist portal for delivery to digital streaming platforms and download stores (“DSPs”). By submitting a release, you agree to these terms in addition to our general Terms of Service and Privacy Policy below.
1. Eligibility & authority. You represent that you are at least 18 years old and have full legal authority to enter this agreement on your own behalf or on behalf of any label, group, or entity you represent.
2. Ownership & rights. You retain ownership of your music. You grant BlackFire Media a non-exclusive, worldwide license to reproduce, distribute, publicly perform, stream, sell, and otherwise exploit your recordings, artwork, metadata, and related materials solely for the purpose of delivering your content to DSPs and administering your release. You confirm that you own or have cleared 100% of the rights required for distribution, including recordings, compositions, samples, remixes, artwork, and contributor permissions.
3. Accurate metadata. You agree to provide complete and accurate release information, including titles, artist names, featured artists, songwriters, producers, genre, explicit content flags, ISRC codes (when migrating existing releases), UPC/EAN (when applicable), and original release dates for previously distributed content.
4. ISRC & UPC. For new releases, ISRC and UPC codes may be assigned by BlackFire Media where not supplied. For migrated releases, you are responsible for supplying correct ISRC and UPC values when required to preserve stream counts, playlist placement, and product continuity on DSPs.
5. Review & approval. All submissions are subject to review. We may approve, reject, delay, or request corrections to any release for technical, metadata, rights, or policy reasons. DSPs operate independently; we do not guarantee placement, timing, or editorial features on any platform.
6. Release dates. Requested release dates are subject to review and DSP processing times. We may adjust a release date when corrections, rights verification, or platform requirements make the original date impractical.
7. Royalties & payments. Royalty rates, payment schedules, and reporting are defined in your artist agreement or onboarding materials. You are responsible for providing accurate payout and tax information.
8. Takedowns & termination. You may request removal of your content subject to DSP processing requirements. We may suspend or remove content that infringes third-party rights, violates platform policies, or breaches these Distribution Terms.
9. Indemnification. You agree to defend, indemnify, and hold harmless Black Fire Midea, BlackFire Media, and our partners from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your breach of these terms, or any allegation that your materials infringe third-party rights.
10. No legal advice. These terms are not legal advice. Consult your own advisors before submitting content you did not fully create or control.
Terms of Service
These Terms of Service (“Terms”) govern access to the Black Fire Midea website, artist dashboard, and related services (collectively, the “Services”). By using the Services, you agree to these Terms.
Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized access.
Acceptable use. You may not use the Services to upload unlawful content, impersonate others, interfere with platform operation, scrape or reverse engineer systems, or misrepresent ownership of intellectual property.
User content. You retain rights in content you submit. You grant us the limited rights necessary to host, process, review, and deliver that content as described in our Distribution Terms and Privacy Policy.
Fees. Where paid features apply, fees will be disclosed before purchase. Failure to pay applicable fees may result in suspension of distribution services.
Disclaimers. The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability. To the maximum extent permitted by law, Black Fire Midea shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill arising from your use of the Services.
Changes. We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
Governing law. These Terms are governed by applicable local laws unless otherwise required by mandatory consumer protections in your jurisdiction.
Privacy Policy
This Privacy Policy explains how Black Fire Midea and BlackFire Media (“we,” “us”) collect, use, and share personal information when you use our website, artist portal, and distribution services.
Information we collect. We may collect account details (name, email, artist name), profile and release metadata, uploaded files, payment and tax information, support communications, usage logs, device/browser data, and cookies or similar technologies.
How we use information. We use personal data to create and manage accounts, process and deliver releases, communicate with you, provide support, prevent fraud, comply with legal obligations, improve our Services, and send service-related notices.
Sharing. We may share information with DSPs and delivery partners, payment processors, cloud hosting providers, analytics providers, professional advisors, and authorities when required by law. We do not sell your personal information.
Retention. We retain information as long as needed to provide Services, meet legal and accounting requirements, and resolve disputes.
Your choices. Depending on your location, you may have rights to access, correct, delete, or restrict processing of your personal data, or to object to certain uses. Contact us to exercise these rights.
Cookies. We use cookies and similar tools for essential site functionality, preferences, and analytics. You can control cookies through your browser settings where applicable.
International transfers. If you access the Services from outside our operating region, your information may be processed in countries with different data protection laws.
Children. Our Services are not directed to children under 13 (or the minimum age required in your jurisdiction), and we do not knowingly collect data from children.
Copyright & DMCA
We respect intellectual property rights and expect artists to do the same. If you believe content distributed through our Services infringes your copyright, please send a notice including:
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to locate it
- Your contact information
- A statement of good-faith belief that use of the material is not authorized
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder
- Your physical or electronic signature
Counter-notices may be submitted where applicable under local law. Repeat infringers may have accounts terminated.
